ACTIONS TDK LICENSE AGREEMENT

炬芯TDK许可协议

This Actions TDK License Agreement (“Agreement”) is a legal agreement between You and Actions, concerning Your use and distribution of the TDK. BEFORE DOWNLOADING OR USING THE TDK, PLEASE CAREFULLY READ THE AGREEMENT. BY DOWNLOADING, INSTALLING, COPYING, RUNNING, USING, DISTRIBUTING, OR OTHERWISE DISPOSING THE TDK, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, PLEASE DO NOT DOWNLOAD, INSTALL, COPY, RUN, USE, DISTRIBUTE, OR OTHERWISE DISPOSE THE TDK.

本炬芯TDK许可协议（“协议”）是您与炬芯之间，就您使用TDK而订立的法律协议。在下载或使用TDK之前，请您仔细阅读本协议。 您一旦下载、安装、拷贝、运行、使用、发行或以其他方式处置TDK，则表示您同意受本协议约束。 如果您不同意本协议，请不要下载、安装、拷贝、运行、使用、发行或以其他方式处置TDK。

1. License. If You comply with the terms and conditions herein, Actions grants You a limited, revocable, worldwide, non-exclusive, non-transferable right and license to (i) reproduce, use and modify the Firmware solely for the purpose of creating the Firmware File; (ii) install, use and reproduce the Tools solely for the purpose of developing, testing, providing or selling Products and/or Service; and (iii) make a reasonable number of copies of the Documentation, and use and modify the Documentation solely to support Your use or distribute of the TDK. Subject to Actions’ prior approval, You may distribute the TDK, or any part thereof, to Your customers, provided that You shall: (i) cease from distributing once Actions requires You to do so; (ii) inform Your customers of complying with this Agreement; and (iii) enclose a copy of this Agreement to the items You distribute to Your customers and ensure that they can receive such copy.

许可。根据您遵守本协议的条款与条件，炬芯授予您一项有限的、可撤销的、世界范围的、非独占的、不可转让的权利，许可您（i）仅为创建固件文件为目的，复制、使用、修改固件；（ii）仅为开发、测试、提供、销售产品及/或服务之目的，安装、使用、复制工具；以及（iii）制作合理数量的文档副本，并仅为支持您使用或发行TDK之目的使用、修改文档。 经炬芯事先准许，您可以向您的客户发行TDK或其任何部分，只要（i）在炬芯要求您停止发行时立即停止发行；（ii）告知您的客户应遵守本协议，以及（iii）发行时附随一份本协议的副本，并保证您的客户可以收到该副本。

2. Restrictions. Without Actions’ prior written consent, You agree not to, or to enable others to: (i) reproduce, install, use, modify, distribute or otherwise dispose the TDK, or any part thereof, except as expressly permitted by this Agreement; (ii) decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt the TDK, or any part thereof provided by Actions in object code form (except as and only to the extent any foregoing restriction is prohibited by applicable law); (iii) sell, license, sublicense, lease or rent the TDK, or any part thereof; (iv) remove or alter any copyright, trademark or patent notice in the TDK; and (v) export, reexport, download, or otherwise use the TDK in violation of any laws or regulations, including U.S. Department of Commerce Export Administration Regulations and other applicable laws.

限制。 未经炬芯的书面同意，您不得，也不得协助第三人：（i）在本协议明确允许的范围之外复制、安装、使用、修改、发行、或以其他方式处置TDK或其任何部分；（ii）反编译、反向工程、反汇编、企图导出其源代码、破解以目标代码形式提供的TDK或其任何部分（除非适用法律禁止任何前述限制）；（iii）销售、许可、分许可、出租、出借TDK或其任何部分；（iv）移除或改变TDK中的版权、商标或专利声明；以及（v）违反任何法律法规（包括美国商务部出口管理条例及其他适用法律）的方式出口、再出口、下载或以其他方式使用TDK。

3. Confidentiality. If any Confidential Information is disclosed by Actions to You, You shall hold the Confidential Information in confidence, using the same degree of care as it used to protect the confidentiality of your own confidential information, but in no event less than reasonable care. You may authorize access to the Confidential Information only to those officers or employees who have a need to know the same for accomplishing the purpose of this Agreement.

保密。 若炬芯向您披露的保密信息，您应以与保护自己保密信息同等的程度保护该保密信息，但不得低于合理的注意。 您仅可允许为达本协议目的确有必要知悉保密信息的员工接触保密信息。

4. Ownership. There are no implied licenses granted under this Agreement. Except as expressly licensed to You herein, Actions (and its suppliers, when applicable) retains all right, title and interest in and to the TDK. Actions may freely use and disseminate any Feedback You provide. You agree not to claim that Actions owes You any compensation for its use or dissemination of such Feedback.

所有权。 在本协议中炬芯并未向您授予任何默示许可。 除本协议明确授予您的权利外，炬芯（及其供应商，如适用）保留对TDK的所有权利。 炬芯可自由使用或披露您提供的反馈。 您不得因炬芯使用或披露反馈而向炬芯主张任何补偿。

5. Intellectual Property. Actions represents and warrants to You that the TDK is researched and developed by Actions independently and Actions has relevant intellectual property rights with regard to the TDK (other than the intellectual property rights Actions has licensed from its suppliers). Actions represents and warrants to You that, to the best of its knowledge, Actions is not aware of any third party claim made against Actions that the TDK infringes any third party’s intellectual property rights.

知识产权。 炬芯向您保证，TDK为炬芯自行研发，炬芯拥有与该TDK相关的知识产权（但炬芯向其供应商获取许可的知识产权除外）。 炬芯保证就炬芯所知，未有第三方对TDK向炬芯提出知识产权侵权主张。

6. Third Party IP. The TDK may include certain third party’s intellectual property rights. To the best of Actions’ knowledge, Actions is free, or has obtained necessary license from applicable third party licensor for using and distributing such third party licensor’s intellectual property rights incorporated into the TDK. However, under certain third party’s license policy with respect to their intellectual property rights (i.e. technology with respect to MP3 licensed by Thomson and/or Sisvel, or technology with respect to Windows media licensed by Microsoft), You may be responsible for obtaining written license necessary for You to use such third party’s intellectual property rights and You may be required to pay royalties to such third party licensor. Notwithstanding the foregoing, Actions will not deliver to You the portion of the TDK containing such third party’s intellectual property rights until You have obtained such written license if such third party licensor requires Actions to do so. YOU HEREBY AGREE THAT IT’S YOUR SOLE RESPONSIBILITY TO PAY SUCH ROYALTIES.

第三方知识产权。 TDK可能包含第三方知识产权。 就炬芯所知，炬芯已就TDK中包含的第三方知识产权向该第三方权利人获取了所需的使用与发行授权，或炬芯可以自由使用与发行。 但根据某些第三方权利人对其知识产权（例如由Thomson及/或Sisvel许可的MP3相关技术，或由微软许可的视窗媒体相关技术）的许可政策，您可能还需向这些第三方权利人单独获得所需的书面许可，向其支付权利金。 无论前述有何规定，在您向该第三方权利人获取许可后，炬芯才会将包含第三方知识产权的TDK的部分交付您，如果第三方权利人如此要求炬芯。 您同意，就该部分权利金，应由您独自承担。

7. Disclaimer of Warranty. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TDK IS PROVIDED ON AN “AS IS” BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND ACTIONS HEREBY DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE TDK, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, ERROR-FREE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.

8. Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL ACTIONS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE TDK, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF ACTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall Actions’ aggregate liability to You for all damages exceed the amount of five dollars ($5.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

责任限制。 在适用法律并未禁止的范围内，在任何情况下，对由于您使用或无法使用TDK所引起或与此有关的任何附带的、特别的、间接的或后果性的损害赔偿，包括但不限于利润损失、资料损失、业务中断的损害赔偿或任何其它商业损害赔偿或损失，无论其成因基于何种责任理论（合同、侵权或其它），炬芯概无须负责，即使炬芯已知悉可能发生上述损害赔偿。 在任何情况下，炬芯就所有损害赔偿对您承担的全部责任累计不应超过五美元（$5.00）。 即使前述救济没有达到其基本目的，上述责任限制仍将适用。

9. Indemnification. You agree, at Your own expense, to defend (or at Your option, settle) any lawsuits, judicial actions or similar proceedings brought against Actions and/or its Affiliates and their respective directors, officers and employees (“Indemnified Party”) for any third party claim(s) based upon (i) features or attributes present in the TDK or the Firmware File wherein such features or attributes are generated by You through modifying the TDK and not provided by Actions in the original TDK; or (ii) any breach of this Agreement by You. Such lawsuits, judicial actions or similar proceedings are referred to as “Claims”. You agree to indemnify and hold the Indemnified Party harmless from and against any damages, costs and fees reasonably incurred (including reasonable attorneys’ fees) that are attributable to the Claims and which are assessed against the Indemnified Party in an adverse final judgment (or a settlement to which You consent).

保赔。 您同意自负费用，在炬芯及/或其关联公司遭遇的诉讼、司法行为或类似程序中为炬芯及/或其关联公司及其各自的董事、官员、雇员（“获赔方”）辩护，只要该诉讼、司法行为或类似程序是基于（i）您通过修改TDK产生的TDK或固件文件的特征或属性，而该特征或属性并非炬芯在原TDK中提供的；或（ii）您违反本协议。 上述诉讼、司法行为或类似程序以下称“诉求”。 您同意，保证赔偿获赔方因诉求导致的、在不利最终判决中（或您同意的和解中）确定的损害赔偿金、诉讼费、以及合理的相关费用（包括合理的律师费）

10. Term. This Agreement shall become effective upon Your agreement to be bound by the terms and condition of this Agreement (as manifested by the conduct described in the first paragraph above), and shall remain effective until terminated.

期限。 当您同意受本协议的条款与条件约束时（可通过第一段描述的行为加以证明），本协议开始生效，并且本协议在终止前持续有效。

11. Termination. Actions may terminate this Agreement upon written notice to You if You (i) materially breach any obligation under this Agreement which breach is not capable of remedy; (ii) materially breach any obligation under this Agreement which breach is capable of remedy but which is not remedied within thirty (30) days (or other deadline that Actions consents to) after written notice specifying the breach; (iii) become bankrupt, or are the subject of proceedings for liquidation or dissolution, or cease to carry on business or becomes unable to pay Your debts as they come due. You may terminate this Agreement for any reason at any time upon written notice to Actions.

终止。 炬芯可书面通知您以立即终止本协议，如果您有如下行为：（1）重大违约，且该违约不可补救；（2）重大违约，该违约可以补救但收到违约通知后三十（30）日（或炬芯同意的其他期限）内没有补救；（3）破产，或者成为解散或清算程序的对象，或者歇业，或者无力偿还到期债务。 您可以任何理由随时向炬芯发出书面通知以终止本协议。

12. Effect of Termination. All licenses granted with respect to this Agreement shall terminate as of the effective date of termination of this Agreement. Upon any termination of this Agreement, You shall promptly either return to Actions any and all copies of the TDK, or promptly provide a written notice to Actions which proves the destruction of all copies thereof. Notwithstanding anything to the contrary in this Agreement, the Sections of 3, 4, 5, 6, 7, 8, 9, 12, 13 and 14 shall survive any termination of this Agreement.

终止效力。 本协议终止后，与本协议相关的授权随即终止。 本协议终止后，您应立即将TDK的所有副本归还炬芯，或立即出具书面通知证明已将TDK的所有副本销毁。 无论本协议有何其他规定，第3、4、5、6、7、8、9、12、13条以及第14条在本协议终止后持续有效。

13. Entire Agreement. This Agreement are the complete agreement of the parties hereto relating to the subject matter hereof. This Agreement supersedes and governs any other prior or collateral agreements (whether express or implied, written or oral) with respect to the subject matter hereof. This Agreement may be amended at any time upon mutual agreement by Actions and You. Actions further reserves the right to make changes to this Agreement. It is Your responsibility to check this Agreement periodically for changes. Actions may, but is not obligated to, provide You with reasonable notice either electronically or by positing notice of the change at Actions’ website. If You continue to use the TDK more than fifteen (15) days after the change has been made, You shall be deemed to have accepted the changes.

本协议构成双方就协议标的所达成的完整协议。 本协议取代先前双方就协议标的所达成的任何双方协议（无论明示的还是默示的，书面的还是口头的）。经您与炬芯协商一致，可随时修改本协议。 炬芯保留修改本协议的权利。 您应当定期查看本协议以确定是否有修改。 炬芯也可以，但无义务，以电子方式或在炬芯网站张贴通知等合理方式通知您。 若您在修改作出后十五（15）日后仍继续使用TDK，则表示您已同意这些修改。

14. Other Terms. This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China, without respect to its conflict of laws provisions. If any provision of this Agreement is held to be illegal or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement will continue in full force and effect and be enforceable. Any breach of this Agreement could cause Actions irreparable harm and Actions has the right to seek temporary or permanent injunctive or other similar relief in any court or other authority of competent jurisdiction in respect of any claims of breach of confidentiality or intellectual property right infringement or for an order of specific performance or other injunctive relief as permitted under applicable Laws. You may not assign or transfer any of Your rights or obligations under this Agreement without Actions’ prior written consent, and any attempt to do so will be null and void. This Agreement will be binding upon each party’s respective permitted successors and assigns.

其他条款。 本协议受中华人民共和国法律管辖，但其冲突法除外。如果本协议之条款视为非法或无效，协议剩余条款继续有效。 若您违约，可能给炬芯造成无法弥补的损害，炬芯有权就任何违反保密义务或知识产权侵权的主张向任何一个有管辖权的法院或其他机关寻求临时或永久禁令或其他类似的救济措施，或申请实际履行的执行令或其他相关法律允许的禁令救济。 未经炬芯事先书面同意，您不得转让本协议下的权利和义务，任何此类试图均为无效。 本协议对任一方准许的继承者和受让者有约束力。

Glossary of Definitions

定义清单

“Actions” means Actions Technology Co., Ltd., a corporation duly organized and existing under the laws of People's Republic of China and having its principal office and place of business at No.1, Ke Ji Si Road, Hi-Tech Zone, Zhuhai, Guangdong, China.

“炬芯”指炬芯科技股份有限公司，一家依据中华人民共和国法律设立的公司，主营业地址为中国广东省珠海市唐家湾哈工大路1号-15-A101。

“Actions Chip” means the semiconductor chip designed and provided by Actions.

“炬芯芯片”指炬芯研发并提供的半导体芯片。

“Affiliate” means, with respect to any legally recognizable entity, any other such entity Controlling, Controlled by, or under common Control with such entity. “Control” means direct or indirect (i) ownership of more than fifty percent (50%) of the outstanding shares representing the right to vote for members of the board of directors or other managing officers of such entity, or (ii) for an entity that does not have outstanding shares, more than fifty percent (50%) of the ownership interest representing the right to make decisions for such entity. An entity shall be deemed an Affiliate only so long as such Control exists.

任何法律实体的“关联公司”指该实体控制的、或控制该实体的、或与该实体处于共同受控制下的另一个法律实体。“控制”指直接或间接（i）拥有此类实体50%以上的、体现董事会成员或其它管理人员选举权的已发行股票；或（ii）对于没有发行股票的实体，拥有此类实体50%以上的、体现决策权的所有者权益。只有这种控制存在时，某一实体才应视为另一实体的关联公司。

“Confidential Information” means any and all confidential or proprietary information that Actions may disclose to You in connection with this Agreement.

“保密信息”指炬芯可能向您披露的所有与本协议相关的保密的或专有的信息。

“Documentation” means any user manuals, reference manuals, release notes, application notes, production guide, hardware design guide, schematics, specifications, bill of materials and other materials provided by Actions, directly or indirectly, for use with the TDK.

“文档”指炬芯为供您使用TDK而直接或间接提供的任何用户手册、参考手册、发行说明、应用说明、生产指南、硬件设计指南、原理图、规格书、材料清单及其他材料。

“Feedback” means any bug report, ideas or suggestions You voluntarily provide to Actions (in any manner, whether in writing or orally or otherwise) regarding the TDK and/or the Firmware File, including possible enhancements or improvements.

“反馈”指您以书面、口头或其它方式自愿提供给炬芯的关于TDK及/或固件文件的漏洞报告、思想或建议，包括可能的增强或改进。

“Firmware” means platform support packages plus cases provided by Actions to You directly or indirectly.

“固件”指炬芯直接或间接提供给您的平台开发支持包及实例。

“Firmware File” means the file created by you using the TDK as the firmware for the Actions Chip.

“固件文件”指您使用TDK创建的适用于炬芯芯片的固件文件。

“Product” means Your product incorporating Actions Chip and Firmware File.

“产品”指集成了炬芯芯片及固件文件的您的产品。

“Service” means the service provided by You to Your customers with respect to Actions Chip and/or Your Product.

“服务”指您向您的客户提供的关于炬芯芯片或产品的服务。

“TDK” means the total solution develop kit, including, but not limited to, the Firmware, the Tools, the Documentation and other programs, codes or materials, and any updates, upgrades or modified versions thereto, if any, provided by Actions to You directly or indirectly.

“TDK”指炬芯直接或间接提供给您的完整解决方案开发包，包括但不限于固件、工具、文档以及其他程序、代码、材料，以及前述的更新、升级或版本修改（如有）。

“Tools” means end user tools, media player utilities, product tools, hardware detection tools and other tools indicated by Actions as the “Tools” and provided by Actions to You directly or indirectly.

“工具”指由炬芯直接或间接提供的最终用户工具、媒体播放器实用工具、产品工具、硬件检测工具及其他工具。
